Allison Transmission Holdings Inc (NYSE:ALSN) To Give Away 25,000,000 Shares

Boston, MA 04/23/2014 (wallstreetpr) – Lately, the leading producer of fully-automated transmissions of heavy and medium duty commercial vehicles, Allison Transmission Holdings Inc (NYSE:ALSN) declared the sale of its shares.

Sponsors will be beneficial

The No.1 manufacturer of hybrid propulsion systems for buses decided to give away 25,000,000 shares by investment funds. The company will sell the shares of the common stocks affiliated with Onex Corporation and The Carlyle Group; the latter is the Sponsors. The transaction will enable the underwriter to buy from the Sponsors a maximum of 3,750,000 extra shares.

Allison Transmission Holdings Inc (NYSE:ALSN), however, will not be useful in terms of proceeds in the entire deal. It will not obtain a single penny from the share offerings by the Sponsors. The shares will be put up for sale by the Sponsors on pro rata basis that is existing shareholders of the company in compliance with their existing interests. The offering of shares is assumed to conclude around April 25, 2014, contingent on the routine closing conditions.

Mode of offering

Citigroup Inc (NYSE:C) would be the sole underwriter in the entire agreement. The international financial company proposed to present the shares of the common stock to the purchasers at regular intervals. In addition, it has also affirmed the delivering of the shares either through agents, or via brokers available in brokerage dealings, in NYSE, or directly, or to traders in settled transactions, or in a blend of all the methods. The offering may also occur at the market prices that will prevail during the transaction or only at prices that are agreed upon prior to the transaction.

The Indianapolis Headquartered company, Allison Transmission Holdings Inc (NYSE:ALSN), has already communicated and filed a statement with the prospectus at the U.S. SEC (Securities and Exchange Commission) regarding the offering. Post the offering, both the Sponsors are assumed to benefit from a total of 45,642,499 shares that are almost 25% of the total stocks of Allison, a company that serves 80 countries.
