The company will look to sell <a href=\"http:\/\/www.marketwatch.com\/story\/interphase-corporation-announces-33-million-private-placement-with-hodges-small-cap-fund-2014-08-14\" target=\"_blank\">1.37 milllion shares<\/a> of its common stock at $2.45 per share through this agreement. The net proceeds from this transaction will be somewhere around $3.3 million.<\/p>\n<p style=\"text-align: justify;\"><strong>Use Of The Net Proceedings: <\/strong><\/p>\n<p style=\"text-align: justify;\">Interphase Corporation (NASDAQ:INPH) looks to utilize the proceedings of this private placement for the expansion of product launch and marketing activities, most of which are associated with the launch of penveu. It will also look to enhance the service business, working capital needs and general corporate purposes with the help of these proceedings.<\/p>\n<p style=\"text-align: justify;\">The company will file a registration statement with the Securities and Exchange Commission for reselling the registered common stock. The company has decided to amend its right agreement to expand the expiration date of PP to August 12, 2014 so that it can execute the sale transaction of common stocks with Hodges Small Cap Fund effectively. According to reports, the right agreement was initially scheduled to expire initially on July 29, 2021. Although the right agreement is getting expired, but shareholders are not required to take any action as they will not be affected adversely from this transaction.<\/p>\n<p style=\"text-align: justify;\">The management of Interphase Corporation (NASDAQ:INPH) looks extremely happy after the execution of this transaction. When reporters asked about this deal from Gregory B. Kalush, President and CEO of INPH, he said, &#8220;We are pleased to have successfully entered into a private placement agreement with Hodges. It makes us believe that INPH has a bright future, but still we have a long way to go.&#8221; He further added, &#8220;This additional capital of $3.3 million will help us to expand our sales services and strategy wing.
