Casablanca Capital LP, the owner of around 5.2% shares of Cliffs Natural Resources Inc (NYSE:CLF), announced officially that it intended to nominate the candidates to Board in February. Casablanca has continuously been supporting the notion that Cliffs off-shot its international operations.<\/p>\n<p style=\"text-align: justify;\"><b>What does the definitive proxy statement say?<\/b><\/p>\n<p style=\"text-align: justify;\">As per the definitive proxy statement, which was filed on June 12, 2014, the candidates of Casablanca are Douglas Taylor, Patrice E. Merrin, Gabriel Stoliar, Robert P. Fisher, Jr., Joseph Rutkowski and Celso Lourenco Goncalves, who was proposed to be the senior most officer of the company. On the other hand, according to the definitive proxy statement filed by Cliffs Natural Resources Inc (NYSE:CLF)\u00a0on June 10, 2014, the company nominated nine director candidates meant for 11 open spots. The company said that it expected that two of the candidates of Casablanca would be elected, but Casablanca said that this was inadequate.<\/p>\n<p style=\"text-align: justify;\"><b>What does Casablanca say?<\/b><\/p>\n<p style=\"text-align: justify;\">In the letter sent to the shareholders, Casablanca said that they believed this step constituted a cynical attempt for restricting the representation of Casablanca to ineffectual minority. The letter further added that this would lead to status quo and will severely restrict the prospects for change that are required to reverse the value destruction. The letter also said that there was no desire of Casablanca to control the Board of Cliffs Natural Resources Inc (NYSE:CLF)\u00a0and that they had only nominated the majority slate to ascertain that Celso Lourenco Goncalves should be installed at the senior-most executive position of the Cliffs.<\/p>\n<p style=\"text-align: justify;\">Casablanca is also pleading the shareholders to vote against 2014 Nonemployee Directors\u2019 Compensation Plan of the company.
