(NYSE:ETP)<\/strong> plans to buy it.<\/p>\n<p style=\"text-align: justify;\"><b>Merger Details<\/b><\/p>\n<p style=\"text-align: justify;\">Today, ETP has specified that it intends to acquire Susser Holdings in exchange of $1.8 billion valued stock and cash transaction. Through this acquisition, ETP will get the ownership of the general partner (GP) interest as well as the incentive distribution rights (IDRs) in Susser Petroleum Partners LP (SUSP). As per the agreed terms of the merger deal, the shareholders of Susser Holdings will have the choice to either receive $80.25 in cash or 1.4506 share of ETP or may choose to keep a combination of both, for every Susser&#8217;s share they hold. The shareholder election is subject to proration, in order to make sure that aggregate cash paid or each share distributed will denote 50% of the aggregate merger consideration. The merger deal is already approved by the Board of Directors of both ETP and SUSS and is estimated to complete by the third quarter of the year 2014. Post the completion of the transaction, Susser Holdings will continue to trade on the NYSE as a master limited partnership (MLP) and would retain its headquarters in Texas.
