The company has decided to use the net proceeds which have been received from the offering to provide money for current capital needs, for\u00a0capital expenditures, and other money requirements that includes capital expenditures at its Mountain Pass, California facility, without any limitation. The companies, Morgan Stanley &amp; Co. LLC, J.P. Morgan Securities LLC, and Goldman, Sachs &amp; Corporation will act as joint book runners for the offering.<\/p>\n<p style=\"text-align: justify;\">The offering may be made only with the help of an accompanying prospectus and a prospectus supplement. The copies of the\u00a0accompanying prospectus\u00a0and the preliminary prospectus supplement,\u00a0relating to the Offering may be received from Goldman, Sachs &amp; Co., Prospectus Department, in 200 West Street, New York and from Morgan Stanley &amp; Co. LLC in\u00a0180 Varick Street, Second Floor, New York in Prospectus Department and also from J.P.
